Janet holds an LL.B (Hons) degree from Makerere University in Uganda and is currently pursuing the Chartered Corporate Governance course at the Institute of Chartered Corporate Governance, UK & Ireland (formerly ICSA). She is a Senior Associate with the Corporate and Commercial transaction team. She is involved in legal and tax research, deal preparation and client briefings, and Janet has 5 years’ experience.

- Advising Case Medical Centre Limited, one of the largest private hospitals in Uganda in its capital raise of USD 20million from a private equity fund. The transaction involved advising the Hospital in the legal and business due diligence processes conducted by the investor as well as advising on all transactional and related documents.
- Acting (together with Asigma Capital) in advising Ngetta Tropical Holdings Limited, one of the largest sunflower oil manufactures based in Northern Uganda on its financing of USD 5 million from Uganda Development Bank. The transaction involved advising the Company in implementing requirements by the Lender such as formation of a strong board, rectification of various corporate documents as well as reviewing and negotiating term sheets and related transactional documents.
- Advising Guardian Health Limited, one of the largest pharmaceutical retailers in Uganda on the raising of capital of USD 3 million through a Kenyan private equity firm for its countrywide expansion.
- Advising PERMA- PIPE MIDDLE EAST (FZC) a company based in Middle East on its intended bid to Total E&P for the installation of insulated pipelines for the East African Crude Oil Pipeline project from Uganda to Tanzania. Our advice extended to best structure the project would adopt, corporate taxation, employment law, business setup in Uganda, JV arrangements and laws as well as application of local content requirements of the sector.
- Advising the Kaizen Company LLC, an American consultancy company working with the US Embassy in Uganda to improve education and various sectors. The scope included advising on the best setup structure in Uganda, tax and all regulatory compliances as well as employment laws applicable to both foreign staff to be deployed in Uganda.
- Conducting a detailed due diligence on a top Ugandan supermarket for a potential acquisition by a Mauritius entity. The due diligence involved confirmation of compliance with the relevant ongoing statutory and regulatory obligations under the Companies Act, market compliance with all statutory and regulatory compliance requirements under Ugandan trade laws, charges created by the Company with various financial institutions, lease agreements on premises rented by the supermarket and a review of all employment and other running contracts.
- Advising AgDevCo Uganda Limited (“AgDevCo”), a subsidiary of AgDevCo UK, a company that invests debt and equity in businesses in the agricultural sector in a bid to add value to the businesses and also alleviate poverty together with empowering the residents. This included structuring to meet Ugandan company law requirements, obtaining all the licences required to conduct business in Uganda, obtaining an investment licence and registering the company with Uganda Revenue Authority for tax compliance purposes.
